These Terms of Service ("Terms") govern the provision of digital marketing automation services by Blanco Digital Ltd, trading as AdFeeder ("AdFeeder", "we", "us", "our"), registered in England & Wales under company number 09675276, to the client identified in the applicable order form, proposal, or agreement ("Client", "you").
By engaging AdFeeder's services, you agree to be bound by these Terms.
AdFeeder provides digital marketing automation services for the automotive industry, which may include (as set out in your specific agreement or proposal):
The specific scope, deliverables, and fees for your engagement will be set out in a separate proposal, order form, or statement of work ("Order"), which forms part of these Terms.
To enable us to provide the services, you agree to:
These Terms remain in effect for the duration specified in your Order, or otherwise on a rolling basis with 30 days' written notice to terminate, unless a different notice period is specified in your Order.
We may suspend or terminate services immediately if you breach these Terms, fail to pay outstanding fees, or engage in unlawful or fraudulent activity.
Upon termination, any outstanding fees for services rendered become immediately due.
AdFeeder manages campaigns using third-party advertising platforms (including but not limited to Google and Meta). We do not control, and cannot guarantee, the policies, algorithms, availability, pricing, or performance of these third-party platforms. Campaign performance may fluctuate due to factors outside our control, including platform changes, market conditions, and competitor activity.
We are not liable for suspension, disapproval, or account restrictions imposed by third-party platforms, provided we have acted in accordance with their published policies and in good faith.
You retain ownership of your own brand assets, trademarks, and vehicle inventory data. AdFeeder retains ownership of its proprietary software, tools, methodologies, and any pre-existing intellectual property used to deliver the services. Any custom creative or campaign assets developed specifically for you will be licensed for your use in connection with your advertising, unless otherwise agreed in writing.
Where AdFeeder processes personal data on your behalf (e.g. lead data, customer enquiries) in the course of providing services, both parties agree to comply with UK GDPR and the Data Protection Act 2018. Where required, the parties will enter into a separate Data Processing Agreement (DPA) governing such processing.
Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party, and to use it only for the purposes of the engagement, both during and after the term of these Terms.
AdFeeder will provide the services with reasonable skill and care. However, we do not guarantee specific results, rankings, click-through rates, lead volumes, or sales outcomes, as these depend on factors outside our control.
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, internet or platform outages, or changes in law.
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
